Terms of Service

These Terms of Service ("Terms") govern your use of Tradeloper (tradeloper.com), operated by AdModifier LLC d/b/a Tradeloper, a Wyoming limited liability company located at 30 N Gould St #40766, Sheridan, WY 82801, USA ("we", "us", "our"). By creating an account, you agree to these Terms.

1. What Tradeloper Does

Tradeloper is a SaaS tool that helps local service businesses send SMS and email review requests to their customers, monitor incoming reviews, and generate AI social media content. Tradeloper does not guarantee any specific number of reviews or business outcomes.

2. Eligibility

You must be at least 18 years old and operating a legitimate business to use Tradeloper. By signing up you confirm this is true.

3. Subscription and Payment

• Tradeloper is offered on two paid plans: Starter ($9/month or $79/year) and Pro ($29/month or $249/year), billed via Paddle.com Market Ltd., our payment processor. Current pricing is shown on the /subscribe page, and any change is communicated in advance via email.
• Your subscription renews automatically each billing period (monthly or annual) unless cancelled.
• You may cancel at any time from your Settings page. Cancellation takes effect at the end of the current billing period.
• 30-day refund window. You may request a full refund of any charge within 30 calendar days of that charge for any reason. See our Refund Policy for the procedure and applicable statutory rights.
• We reserve the right to change pricing with 30 days' notice by email to existing subscribers. Your price stays the same throughout any notice period.

4. Your Responsibilities

By using Tradeloper you agree to:

• Only add customers who have given prior express consent to receive SMS messages from your business, as required by the Telephone Consumer Protection Act (TCPA).
• Maintain records of customer SMS consent for a minimum of 4 years.
• Comply with all applicable laws including TCPA, CAN-SPAM, GDPR (if applicable), and FTC rules on consumer reviews.
• Not use Tradeloper to solicit fake, incentivised, or misleading reviews.
• Not use Tradeloper to send spam or unsolicited messages.
• Not use Tradeloper to harass, intimidate, or threaten any person.
• Comply with the review policies of Google, Facebook, and any other platform you direct your customers to.

5. Prohibited Conduct

You may not use Tradeloper to:

• Engage in review gating (pre-screening customer sentiment before directing them to a review platform) — this violates Google's policies and the FTC Consumer Review Rule.
• Offer payment, discounts, or gifts in exchange for reviews.
• Submit or solicit fake or fabricated reviews.
• Direct customers to leave reviews on Yelp (Yelp explicitly prohibits solicited reviews).
• Reverse-engineer, copy, or resell any part of the Tradeloper platform.

Violation of these prohibitions may result in immediate account termination. Refund eligibility for terminated accounts is determined by our standard Refund Policy and any statutory rights that apply in your jurisdiction.

6. SMS and Email Compliance

You are solely responsible for ensuring all SMS and email communications sent through Tradeloper comply with TCPA, CAN-SPAM, and any other applicable law in your jurisdiction. Tradeloper provides the technical tools; compliance is your responsibility. We are not liable for fines, penalties, or legal actions arising from your misuse of the platform.

7. Content and AI

AI-generated social media posts are produced by Anthropic (Claude) and are suggestions only. You are responsible for reviewing, editing, and approving any content before publishing it. We do not guarantee the accuracy, quality, or appropriateness of AI-generated content.

8. Limitation of Liability

Tradeloper is provided "as is." To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages including lost revenue, lost reviews, or business interruption. Our total liability to you in any month shall not exceed the subscription fee you actually paid us for that month.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by third-party providers (Twilio, Paddle, Replit, Anthropic).

10. Termination

You may cancel your account at any time from Settings. We may terminate your account if you violate these Terms, with or without notice. Upon termination, your access to the platform ends and your data will be deleted within 30 days upon request.

11. Changes to These Terms

We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use after that date constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration held in Sheridan County, Wyoming.

13. Payment Processing

Subscription payments are processed by Paddle.com Market Ltd. (registered in England & Wales, no. 08172165, Judd House, 18-29 Mora Street, London EC1V 8BT, United Kingdom), which acts as the Merchant of Record for all Tradeloper purchases. Your contract for the Tradeloper service is with us; the purchase contract is with Paddle. Charges are governed by Paddle's Buyer Terms. Refunds are issued through Paddle to the original payment method.
